They're trying to block the finality of the decision

They can appeal but an appeal doesn’t affect the judge’s ruling so the parties can proceed just like they wanted to. The stay would sort of eliminate the judge’s ruling during the appeal process so the sale couldn’t go through until an appeal decision. But the lenders probably have to post a bond to cover any damages caused by the stay. Damages could be decreased value in the team by lack of ability to add payroll (and lost wins), lost draft picks and things that are hard to quantify.

Supersedeas bonds often have to be posted to cover damages incurred by the adverse party should they not want the decision to be executed. By the way, I’m not giving legal advice (I always have to say that here when I spout off on legal stuff).

Sure, HSG is on the hook for the entire debt but the creditors should have damn well known that loaning a shit-ton of unsecured debt when MLB had the ability to approve any sale was a bad idea. That’s probably why Monarch was able to purchase a lot of the debt for pennies on the dollar because there was a risk.

I don't think fraud has been raised by the creditors

Bad faith has since HSG seems to have been going around Greenberg’s back trying to talk to Crane during Greenberg’s exclusive negotiating period. But I don’t think the creditors can claim anything. They made loans knowing (or should have known) the circumstances under which the Rangers could be sold.

If the xfer resulted in HSG not getting equivalent value for the asset or was an attempt to delay, hinder, or defraud creditors

This is a nationwide search and the most recent “andrew sheppard” obit was published in 09. It didn’t pull up a “drew sheppard”.

But could allow creditors to pierce the veil on Hicks. At this point, the sale looks as good as it ever has, and like Wyo said above, the team could get damages for time spent litigating.

If the judge rules in favor of the sale I see any appeal being fast-tracked due to possible damages to the Rangers (since it’s worth hundreds of millions) and the issue will come down to whether MLB really has the ultimate authority on sales of teams (I’m guessing they might).

But HSG’s actions have been, I would say, questionable if they were trying to tank their own deal with Greenberg. But I don’t know everything or what the parties knew and the timing of things. Back channels happen all the time but geez.

As far as veil piercing, I’d doubt it. Hicks has to have smarter attorneys than would allow that. It’s not a matter of veil piercing but bad faith/intentional interference with contract, etc. If this thing falls through Greenberg and others have plenty with which to work.

The Rangers sale would get done, creditors would appeal and seek a stay of the Court’s decision so the sale couldn’t go through. But I think the creditors would have an uphill battle to prove they are entitled to a stay. I still think HSG has enough assets to pay off the creditors once everything is sold.

If you're appealing one judge's decision, he's not going to grant you the authority to seek that appeal

You go straight to the district court and they decide whether to grant you the stay on the other judge’s decision.

And I seriously do think it would be tough for the creditors to get a stay. As perhaps Aqua said above, you need to prove irreperable damages from not granting the stay. I don’t think the creditors can pull that off.

MLB (I believe) has ultimate say on who gets to buy a team. But it’s not going to approve a sale of a team for $5.00 since that hurts that value of other franchises. Think about the Hendry/Loria Red Sox/Marlins deal. MLB probably figured Hendry would spend a crap load, increase the interest of the Red Sox/Yankees rivalry which increases the total interest in baseball. Loria was running the Expos into the ground so sell him the Marlins and move the Expos into a bigger market. Another win. MLB isn’t going to allow a team to be sold to someone that’s just going to try and turn it into a cash cow and reap profits off of revenue sharing.

My gut?

The judge has given an advisory opinion but no final decision. He’s giving the creditors a final try to come to a resolution and a warning which way he’s leaning. Yes, the creditors could appeal but it’s risky. As I’ve said all along “best interests of baseball” doesn’t mean much to me so I don’t know how much ultimate authority MLB has but it seems like a lot.

My thinking is like this. HSG is put into involuntary bankruptcy and the Rangers are an asset of HSG. Since the Rangers issues are being handled outside of an HSG bankruptcy, do the Rangers have to be dealt with under the HSG umbrella since there is no final ruling regarding the Rangers. If there was a final ruling, I wouldn’t have much concern. But since there is nothing final, in theory the two cases could be consolidated.

but isn’t there something where if one proceeding is already underway, a new court isn’t going to disturb that proceeding? Certainly no law but I wonder if it wouldn’t just be courtesy, so you don’t have this inefficiency.

It's a matter of concurrent jurisdiction and comity stay

You have to argue which state has primary jurisdiction. Part of it depends on the contacts of a party between one state versus the other. And yes, if one matter is underway in one state it often has primary jurisdiction but you can get around that by pointing another state is the better venue and request the court grant a “comity stay” staying the matter in the other state. Then the other state court decides whether to grant the request for comity stay.

Between now and final order, creditors force HSG into bankruptcy. The sale is an important asset in both bankruptcies. Does the HSG bankruptcy judge stay the proceeding until the Rangers bankruptcy is completed as a matter of law or courtesy? Does he try to take over the proceeding? I think it is the former but that was the question jf was asking.

Say the creditors push HSG and the $525MM into bankruptcy prior to Lynn’s final order HSG still has 20 days to respond to the petition so the timing might not work and Lynn’s decision should still have been made prior to that. The other BR judge isn’t going to mess with Lynn’s prior decision. The creditors could seek a stay of the current proceeding based on the involuntary BR petition but that would still be a tough argument. Finally, if the creditors push for involuntary bankruptcy and it’s found to be in bad faith (i.e. simply to block Judge Lynn’s future decision) they’d be on the hook for HSG’s attorneys’ fees (which isn’t that big a deal considering the magnitude of the money involved).

The Rangers matter has been briefed and argued and is just awaiting a decision next week so I don’t believe another Court would interfere with that. Also, if involuntary bankruptcy was the creditors’ answer they would have done it at various points in time:
1) when HSG defaulted;
2) when the bidding process started;
3) when the Greenberg letter of intent was done;
4) when they got the email from HSG saying Crane’s offer was higher; or
5) when we all heard the Crane offer was higher from newspapers and Hicks himself.

There’s a reason the creditors haven’t gone down that road before now. It’s probably because the assets of HSG cover the debt and because the creditors can’t force sales of two assets the way they want due to consent requirements by MLB and NHL.

I’ve had lots of judges take evidence I knew (or think I know) shouldn’t have been admitted but they don’t want to be overturned on that type of issue. Take everything in in this type of situation (expecially since there’s no jury) and then no one bitches about X coming. This way you have no evidentiary challenges.

You can either try to work something out, or you can effed in the A and go the district court route, where you’ll probably lose. You guys should probably vote to approve the bankruptcy.”

I guess this is probably par for the course for bankruptcy judges

they don’t ever want to screw the creditors outright and want it to at least appear that creditors accepted the bankruptcy rather than the court imposing the bankruptcy.

Suffice it to say the folks in Liverpool are following events here with great interest, and Ranger fans have their utmost sympathy.

And yeah, it sucks ass to be a fan of both teams at the moment. As much as everyone here would like to kick him straight in the taint, that goes double for me. Fuck Tom Hicks, every day of the week, and twice on Sundays.
